These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Guerilla Finance Inc., a Georgia limited liability company ("DilutionWatch," "we," "us," or "our"), governing your access to and use of the DilutionWatch platform, website at dilutionwatch.com, APIs, alerts, and all related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

THE CONTENT AND SERVICES PROVIDED BY DILUTIONWATCH ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NOTHING ON THIS PLATFORM CONSTITUTES FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, OR ANY OTHER FORM OF PROFESSIONAL FINANCIAL GUIDANCE. DO NOT MAKE ANY INVESTMENT DECISION BASED SOLELY ON INFORMATION PROVIDED BY DILUTIONWATCH.

DilutionWatch monitors publicly available SEC filings and provides automated alerts, analytical scores, and data summaries. These outputs are tools for research only. Past patterns observed in SEC filings are not indicative of future stock performance. All investments carry risk, including the potential loss of your entire principal investment.

You should conduct your own due diligence and, where appropriate, consult a licensed and qualified financial advisor before making any investment decision. DilutionWatch is not a substitute for professional financial advice.


2. SEC/FINRA Regulatory Disclosure

Guerilla Finance Inc. and DilutionWatch are not registered with the U.S. Securities and Exchange Commission (SEC) as an investment adviser, broker-dealer, or any other regulated entity under the Securities Exchange Act of 1934, the Investment Advisers Act of 1940, or any applicable state securities laws. DilutionWatch is not a member of FINRA (Financial Industry Regulatory Authority).

We do not provide personalized investment recommendations, manage client assets, execute securities transactions, or hold client funds. Our Service is solely a data aggregation and alert notification platform based on publicly available regulatory filings.


3. No Client Relationship

Your use of the Service does not create any advisory, fiduciary, broker, dealer, or client relationship between you and Guerilla Finance Inc. We do not act as your financial adviser or in any fiduciary capacity. We owe you no fiduciary duty, duty of loyalty, or duty of care in connection with your use of the Service or any investment or trading decisions you make.

The Service is a data aggregation and research tool. No communication from DilutionWatch — including alerts, scores, summaries, or any other output — should be interpreted as personalized investment advice. The decision to act on any information is yours alone and remains entirely your responsibility.


4. Market Risk Acknowledgment

By using the Service, you explicitly acknowledge and agree that:

  • Investing in securities involves substantial risk of loss, including the potential loss of your entire investment;
  • Financial markets are inherently volatile and unpredictable; past performance is not indicative of future results;
  • SEC filing data (including Form S-3, Form S-1, Form 4, and 8-K filings) may be delayed, incomplete, or subject to amendment after initial publication;
  • DilutionScore™ ratings, at-risk assessments, and float analysis are algorithmic outputs and may be inaccurate, delayed, or incomplete;
  • Dilution events, shelf registrations, and insider transactions do not necessarily predict future stock price movements;
  • No data, score, signal, or analysis on this platform predicts or guarantees future stock prices or market performance;
  • You are solely responsible for independently evaluating the risks of any investment or trading decision.

5. User Responsibilities

You are solely responsible for:

  • All investment and trading decisions you make, regardless of any information, alerts, or scores obtained from the Service;
  • Conducting your own independent research and due diligence before making any investment decision;
  • Understanding the risks associated with securities investing, including the risk of total loss;
  • Compliance with all applicable laws, regulations, and rules governing your trading and investing activities, including securities laws, tax obligations, and insider trading restrictions;
  • Verifying SEC filing data from primary EDGAR source documents before acting on it;
  • Maintaining the confidentiality and security of your account credentials;
  • Ensuring that your use of the Service complies with these Terms at all times.

6. Eligibility and Account Registration

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. By creating an account, you represent and warrant that:

  • You are at least 18 years old;
  • The information you provide during registration is accurate and complete;
  • You will maintain the accuracy of your account information;
  • Your use of the Service does not violate any applicable law or regulation;
  • You are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at admin@dilutionwatch.com of any unauthorized access.


7. Subscription, Billing, and Cancellation

DilutionWatch offers both free and paid subscription tiers. Paid subscriptions are billed on a recurring basis (monthly or annually, as selected) through our payment processor, Stripe. By subscribing to a paid tier, you authorize us to charge your designated payment method on a recurring basis until cancelled.

Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time in the current period, except as required by applicable law.

Refund Policy: Refund requests must be submitted within 7 days of initial purchase. Refunds for renewals are handled on a case-by-case basis. Contact admin@dilutionwatch.com for refund inquiries.

We reserve the right to modify pricing with at least 30 days' written notice. Continued use after a price change constitutes acceptance of the new pricing.


8. Proprietary Data and Intellectual Property

All content, data, features, and functionality of the Service — including but not limited to the DilutionScore™ methodology, scoring algorithms, proprietary data models, filing analysis frameworks, visual design, software code, trademarks, logos, and documentation — are the exclusive intellectual property of Guerilla Finance Inc. and are protected by United States and international copyright, trademark, patent, and trade secret laws.

The DilutionScore™ methodology is a proprietary analytical framework. You acknowledge that this methodology constitutes a trade secret and confidential business information of Guerilla Finance Inc. Reverse engineering, replicating, or distributing this methodology is strictly prohibited.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes only. You may not:

  • Copy, modify, distribute, sell, or sublicense any content from the Service;
  • Scrape, crawl, spider, or otherwise extract data from the Service by automated means;
  • Reproduce or republish DilutionScore ratings or our proprietary analysis on any third-party platform without express written consent;
  • Use the Service's data feeds or APIs to build competing products or services;
  • Remove any proprietary notices or labels from the Service.

9. Acceptable Use and User Conduct

By using the Service, you agree that you will not:

  • Use information from the Service to engage in market manipulation, front-running, coordinated trading schemes, or any activity that violates securities laws;
  • Use automated scripts, bots, scrapers, or crawlers to access, monitor, or copy any part of the Service;
  • Attempt to gain unauthorized access to any portion of the Service, user accounts, or backend systems;
  • Introduce viruses, worms, malicious code, or any technology that may harm the Service;
  • Circumvent, disable, or otherwise interfere with security features of the Service;
  • Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure;
  • Use the Service to harass, abuse, or harm any person;
  • Violate any applicable local, state, national, or international law.

We reserve the right to investigate and prosecute violations of the above to the fullest extent of the law. We may cooperate with law enforcement in prosecuting users who violate applicable law.


10. Automated Access and Data Harvesting Prohibition

STRICTLY PROHIBITED — LEGAL ACTION WILL BE TAKEN

DilutionWatch's DilutionScore™ ratings, SEC filing analysis, float data, institutional holdings, and at-risk assessments are produced at substantial ongoing cost and constitute proprietary trade secrets. Automated extraction destroys our ability to operate and will be prosecuted to the fullest extent of applicable federal law.

You may not, directly or through any third party, tool, or service:

  • Use bots, spiders, crawlers, scrapers, or any automated means to access, download, or extract data from the Service — including DilutionScores, filing data, float data, institutional data, or API responses;
  • Use headless browsers or browser automation frameworks (including Playwright, Puppeteer, Selenium, Scrapy, or equivalents) to interact with or harvest from the Service;
  • Programmatically query API endpoints or data feeds at a rate or volume exceeding normal human use, or in a pattern consistent with data harvesting;
  • Cache, store, or systematically accumulate DilutionScores, at-risk rankings, SEC filing analysis, or any other Service data;
  • Use data obtained from DilutionWatch to train, fine-tune, benchmark, or evaluate AI or machine learning models without a written commercial license;
  • Sell, sublicense, redistribute, republish, or commercialize DilutionScores, filing analysis, or any other data obtained from the Service;
  • Build any competing product, service, or database using data obtained from the Service;
  • Reverse-engineer, decompile, or attempt to derive the DilutionScore™ methodology, scoring algorithms, or data models;
  • Circumvent, disable, or evade rate limiting, IP blocks, or any other access controls — including through IP rotation, proxy networks, or residential proxies;
  • Place unreasonable or disproportionate load on our servers, APIs, or infrastructure.

Legal Consequences. Unauthorized automated access constitutes unauthorized access to a protected computer under the Computer Fraud and Abuse Act (18 U.S.C. § 1030). Systematic extraction of DilutionWatch data constitutes misappropriation of trade secrets under the Defend Trade Secrets Act (18 U.S.C. § 1836). Circumventing technical access controls may additionally violate the Digital Millennium Copyright Act (17 U.S.C. § 1201).

Guerilla Finance Inc. actively monitors access patterns, request rates, and behavioral fingerprints. We will: (a) immediately and permanently block offending IP addresses, autonomous system numbers (ASNs), and user agents without notice; (b) pursue civil remedies including injunctive relief, actual damages, disgorgement of profits, and attorneys' fees; and (c) refer criminal violations to the FBI and other federal law enforcement agencies. We retain detailed access logs for use in legal proceedings.

Technical Enforcement. We employ rate limiting, IP blocking, TLS fingerprinting, behavioral analysis, and honeypot detection on all endpoints. These controls operate at the infrastructure level. Triggering them may result in a permanent block with no appeal. Attempting to circumvent a block is a separate violation of these Terms and applicable law.


11. AI-Assisted Content Disclosure

Some content on the DilutionWatch platform — including analytical summaries, filing interpretations, and educational articles — may be generated or augmented with the assistance of artificial intelligence tools. While we review AI-assisted content for accuracy and quality, AI-generated content may contain errors, omissions, or inaccuracies.

AI-assisted content does not constitute professional financial, legal, or investment advice. You should not rely on AI-generated summaries as a definitive interpretation of SEC filings or as the basis for investment decisions. Always consult the original source documents and qualified professionals.


12. Third-Party Services

The Service integrates data from third-party providers including SEC EDGAR, market data vendors, and other public and proprietary sources. Guerilla Finance Inc. is not responsible for:

  • Third-party service outages, disruptions, or API failures;
  • Incorrect, incomplete, delayed, or unavailable data from any third-party source;
  • Changes to SEC EDGAR data availability, filing formats, or document coverage;
  • Delays in SEC filing publication that result in alert latency or missed notifications;
  • The accuracy of underlying source data from SEC filings or public regulatory disclosures.

Your use of data obtained through the Service may also be subject to those third-party providers' terms of service. DilutionWatch is not liable for any disruption, loss, or damage arising from third-party data failures.


13. Force Majeure

Guerilla Finance Inc. shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including without limitation: acts of God, natural disasters, pandemic or epidemic, war, terrorism, government action or regulation, power failures, internet or telecommunications outages, third-party service failures (including SEC EDGAR outages), cyberattacks, or financial market disruptions. During such events, we may suspend or restrict the Service, including alert delivery, without notice or liability.


14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GUERILLA FINANCE INC., ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • TRADING LOSSES, INVESTMENT LOSSES, OR LOSS OF CAPITAL OF ANY KIND;
  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR ANTICIPATED SAVINGS;
  • DAMAGES RESULTING FROM RELIANCE ON ANY DATA, SCORE, ALERT, OR INFORMATION PROVIDED BY THE SERVICE;
  • PLATFORM OUTAGES, DOWNTIME, OR DELAYED ALERT DELIVERY;
  • DELAYED OR INACCURATE SEC FILING DATA OR THIRD-PARTY DATA FAILURES;
  • UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA.

THIS EXCLUSION APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGGREGATE LIABILITY CAP: OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO US DURING THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.


15. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) ALERTS WILL BE DELIVERED IN A TIMELY MANNER OR AT ALL; (C) DATA OBTAINED FROM SEC EDGAR, MARKET DATA PROVIDERS, OR OTHER THIRD-PARTY SOURCES WILL BE ACCURATE, COMPLETE, OR CURRENT; (D) DILUTIONSCORES OR AT-RISK ASSESSMENTS ARE FREE FROM ERROR; (E) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; OR (F) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.


16. Indemnification

You agree to indemnify, defend, and hold harmless Guerilla Finance Inc. and its members, managers, officers, employees, affiliates, contractors, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Service; (c) any investment or trading decisions you make based on information, alerts, or scores obtained from the Service; (d) your violation of any applicable law or regulation; (e) your violation of any third-party right, including any intellectual property right; or (f) any content you submit or transmit through the Service.


17. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.


18. GDPR and CCPA Rights

For Users in the European Economic Area (EEA) and United Kingdom: To the extent applicable, you have rights under the General Data Protection Regulation (GDPR) including the right to access, rectify, erase, restrict processing of, and port your personal data. You also have the right to object to processing and to lodge a complaint with a supervisory authority.

For California Residents: Under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), you have the right to: (a) know what personal information we collect, use, disclose, or sell; (b) delete personal information we have collected about you; (c) opt out of the sale or sharing of your personal information; (d) non-discrimination for exercising your rights; and (e) correct inaccurate personal information.

To exercise any of these rights, submit a request to admin@dilutionwatch.com. We will respond within 30 days (or 45 days for complex requests).

We do not sell personal data to third parties for monetary consideration.


19. Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason and without liability, including if we reasonably believe you have violated these Terms, engaged in suspicious activity, or pose a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately.

Provisions of these Terms that by their nature should survive termination shall survive, including without limitation: Sections 8 (Intellectual Property), 10 (Scraping Prohibition), 14 (Limitation of Liability), 15 (Warranty Disclaimer), 16 (Indemnification), and 21 (Arbitration).


20. Geographic Restrictions

The Service is operated from the United States and is intended primarily for U.S. audiences. We make no representation that the Service or its content is appropriate or available in any particular jurisdiction outside the United States. If you access the Service from outside the United States, you do so on your own initiative and are solely responsible for compliance with applicable local laws, regulations, and rules regarding financial data services, investment information, and related activities. We reserve the right to restrict access from any jurisdiction at any time without notice.


21. Arbitration and Dispute Resolution

Please read this section carefully — it significantly affects your legal rights, including your right to file a lawsuit in court.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved exclusively through binding individual arbitration administered under the rules of the American Arbitration Association (AAA), rather than in court, except: (a) you may assert claims in small claims court if your claims qualify; and (b) either party may seek emergency injunctive relief in court to protect intellectual property rights or prevent irreparable harm, pending arbitration.

Class Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE OR CONSOLIDATED PROCEEDING AGAINST GUERILLA FINANCE INC. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

Any arbitration shall be conducted in Fulton County, Georgia, or remotely by mutual agreement, under the substantive laws of the State of Georgia, without regard to conflict of law provisions. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitrator shall not have authority to award punitive damages beyond what is permitted by these Terms.

Time Limit. Any claim must be brought within one (1) year of the date the cause of action arose, or it is forever barred. You agree to first contact us at admin@dilutionwatch.com and allow 30 days to attempt informal resolution before initiating arbitration.


22. Modifications to the Service and Terms

Modifications to the Service. Guerilla Finance Inc. reserves the right to: (a) modify, update, add, or remove features or functionality of the Service at any time; (b) discontinue the Service or any portion thereof, temporarily or permanently; (c) change data sources, alert thresholds, refresh rates, or data coverage without notice; (d) change pricing, subscription terms, or available tiers with 30 days' notice; and (e) impose limits on certain features or restrict access to all or part of the Service. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Modifications to These Terms. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.


23. Severability and Entire Agreement

If any provision of these Terms is found by a court or arbitrator to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Guerilla Finance Inc. regarding the Service and supersede all prior agreements, representations, and understandings relating to the Service.
