They are not personalized investment recommendations and should not be interpreted as such. A high DilutionScore, "at-risk" designation, or dilution alert is not a recommendation to sell or short any security. An absence of alerts is not a recommendation to buy.
5. Investment and Dilution Risk Warnings

- SEC EDGAR filing data is subject to reporting delays — companies have up to 4 business days to file Form 8-K, up to 10 calendar days for Form S-3 effectiveness, and varying statutory deadlines for other filings;
- Filing amendments (e.g., S-3/A, 8-K/A) may modify previously filed information and may not be immediately reflected on the platform;
- DilutionScores and at-risk assessments are algorithmic outputs based on available filing data and may not reflect all material factors affecting a company's dilution risk;
- Alert delivery is not guaranteed — technical issues, email filtering, or connectivity problems may cause alert delays or failures;
- Data processing pipeline delays may cause a lag between SEC filing and platform display;
- Errors in SEC EDGAR filings by the company are beyond our control and may cause inaccurate data display.
Always verify all SEC filing data directly from SEC.gov EDGAR before making any investment decision.
7. DilutionScore and Algorithmic Limitations
DilutionScores and at-risk assessments are produced by proprietary algorithms. These algorithms analyze SEC filing patterns, dilution history, and structural indicators to generate risk indicators. These outputs have known and inherent limitations:
- DilutionScores are historical and structural risk indicators — they are not predictive of future stock price movements;
- A high DilutionScore does not mean a stock will decline; a low score does not mean a stock is safe;
- Algorithms may miss novel dilution structures, off-balance-sheet arrangements, or unusual corporate actions;
- Score calibration may not be current with recent changes in SEC disclosure requirements or market conditions;
- Algorithmic models can produce false positives (flagging non-dilutive activity) and false negatives (missing genuine dilution risk).
